Why Government Officers Scrutinize Your Rent Agreement
Both the Ministry of Corporate Affairs (MCA) under Section 12 of the Companies Act and state GST Jurisdictions treat the Registered Office as the legal anchor for statutory summons, tax recovery, and public registry records. A vague residential lease or informal receipt will lead to instant rejection.

The lessor’s name in the rent agreement must match the consumer name on the electricity bill or municipal property tax receipt letter-for-letter. If the property is in the name of a deceased relative or joint family without proper legal partition, government verification will fail.
The agreement must explicitly state: "The tenant is authorized to use the premises for commercial, corporate, consulting, or retail business purposes, and to register entities with governmental authorities."
Even with a signed rent agreement, both MCA and GST require an independent, signed NOC document on plain paper stating the owner permits the company (and its directors/partners) to use the premises as its registered corporate office.
The accompanying electricity, water, or piped gas bill must be not older than 60 days (2 months) on the date of submission to the ROC or GST department.
Never agree to mandatory 2-year or 3-year lock-in clauses if your business is early-stage. Cap annual rent escalations at 5% to 7% maximum instead of standard 10%–15% landlord proposals.
Under Indian Company Law and GST rules, businesses are legally required to display a physical nameboard with company name, CIN, and GSTIN outside the premises. Ensure the lease gives you unrestricted rights to mount your board.
Leases up to 11 months must be executed on appropriate state non-judicial stamp paper and notarized. Leases exceeding 11 months must be officially registered at the local Sub-Registrar Office.
Stipulate that the interest-free security deposit must be refunded simultaneously upon handover of vacant possession, with pre-defined inspection timelines for wear and tear.
